How to incorporate a new company in Hong Kong
Incorporation of a Hong Kong limited company by a non-Hong Kong resident:
1. Any person whose nationality does not belong to a United Nations sanctioned country.
2. As long as you are at least 18 years old.
3. Holders of valid national passports (including Macau Identity Card and Chinese Identity Card).
4. And provide an address in Hong Kong as the registered address of the company.
If you meet all the above conditions, you can set up a Hong Kong limited company!
Application Process & Required Documents: 1. You need to select the type of company (company limited by shares, private company or
company limited by guarantee).
2. Draw up to three company names in English and/or Chinese and then conduct a search to ensure that other companies do not use the names.
The application documents include:
An original (wet-ink) signature is required—digital signatures are not accepted on all forms
A copy of the company's Articles of Association
Copies of national passports and ID cards of all directors and company secretaries
Proof of address (within 3 months before the date of application)
Note: A private company must have a company secretary (can be done on behalf of the company, the company secretary package is here) and at least one director who is a natural person (i.e. an individual), and the position of company secretary cannot be held by the sole director of the company at the same time. A private company with only one director may not appoint a body corporate with that director as the sole director as the company secretary.
Charges:
• A charge of HK$2,500 per company for the incorporation of a company.
• Plus, the following government fees:
1. Incorporation of a local company with share capital is HK$1,720.
2. Business Registration Annual Certificate HK$2,200, Annual Return HK$105.
Statutory requirements for the Incorporation and operation of a Hong Kong limited company:
A Hong Kong limited company can only be incorporated if it meets the following statutory conditions, in which we can provide a commercial address for your use (virtual office service) and secretarial services to make it easy for you to set up your company. • At least one natural person or a statutory group as a member of the company. • A non-public housing address is used as the registered address of the company. • An adult Hong Kong resident and/or a licensed Hong Kong company acting as the statutory secretary of the company.
After the establishment of the company, it must also meet the requirements of the Companies Ordinance ·Freedom from prosecution. How to maintain a Hong Kong limited company:
• Submit an annual return form. • Business Registration Renewal (HK$250-2,450 · depending on government policy). • Tax return · will be received after 18 months of establishment. If there is no operation, zero declaration is only for HK$1,000; If business operates, it is necessary to conduct accounting tax to submit to the tax bureau for assessment, for HK$8,000 up). • Submit an employee's tax return (HK$500 if you have zero staff).
